Legislative Decree No. 231 of June 8, 2001 concerns the Regulation of the administrative liability of legal entities, companies and associations, including those without legal personality. Associative entities, including limited companies, can be held responsible in connection with some crimes committed in their own interest or to their own advantage by individuals belonging to top management or by employees, collaborators and external consultants and third parties. On January 9, 2023, the Board of Directors of FURRER S.P.A. (hereinafter the Company) approved its Organization, Management and Control Model in accordance with Legislative Decree No. 231/2001 (hereinafter the Model) in order to satisfy the necessary conditions for the administrative liability exemption of the Entity.
The Company provided itself with a Code of Ethics. It specifies that all company activities must be compliant with the law, according to principles of seriousness, reliability, professionalism, integrity, honesty, fairness, respect and transparency, as well as respecting the interests of its external stakeholders. The Company is based on these principles, they prove the commitment to behave without compromises, in order to maintain a strong and recognized reputation.
According to Art. 6 paragraph 1 letter b) of Legislative Decree 231/2001, the Company established its own Supervisory Board (SB) (monocratic composition) provided with full and autonomous powers of initiative and control over the Company's activities. The SB supervises the effectiveness, updating and observance of the Model adopted by the Company and its constituent elements, in order to prevent crimes from which the administrative liability of the Entity may arise.
The Company established an information exchange system for its employees and those involved in the Company's purposes, who have to promptly inform the Supervisory Board regarding any violation of the Model and its constituent elements, as well as regarding any other aspect potentially relevant to the application of Legislative Decree 231/2001 (e.g., illegal or ethically incorrect situations). The subjects of the model incur in disciplinary measures if any not compliant behaviour is exhibited.
